Terms of sale and installation of Mi Techo Solar

These terms apply to all quotes, orders and installations of Mi Techo Solar Energías Renovables S.L. (CIF B44974491), for private customers, homeowners' associations and businesses. They are governed by Spanish law. Spanish, Dutch and English versions are available; in case of discrepancy the Spanish text prevails.

1. Definitions

  • Mi Techo Solar: Mi Techo Solar Energías Renovables S.L., details above.
  • Customer: the natural person, homeowners' association or business that receives a quote or places an order.
  • Consumer: a customer acting for purposes outside their trade, business, craft or profession.
  • Installation: solar panels, inverter, battery, mounting system, cabling and other components described in the quote, including assembly.
  • Handover: the moment the installation is technically complete, commissioned and handed over to the customer with the handover report.
  • Legalisation: the registration of the installation with the competent authorities (including the installer's certificate and the registration of the self-consumption installation).

2. Scope

  1. These terms apply to all quotes, contracts and work of Mi Techo Solar.
  2. Deviations only apply if they are agreed in writing or in the signed quote.
  3. The customer's own terms do not apply unless Mi Techo Solar has accepted them in writing.
  4. If a clause is void or voidable, the other clauses remain in force. The parties replace it with a valid clause that comes as close as possible to its purpose.

3. Quote and conclusion of the contract

  1. A quote is valid for 14 days, unless the quote states another date.
  2. The quote states the product, quantity and price per line, and the expected yield of the installation.
  3. The contract is concluded when the customer signs the quote, by hand or digitally via the Mi Techo Solar link. The customer immediately receives a copy of the signed quote and of these terms.
  4. The quote is based on the information provided by the customer and on the site survey. If the survey or the work shows that the situation is different (roof, structure, distribution board, grid connection), Mi Techo Solar makes an amended proposal. The customer decides on it, at no cost if the proposal is rejected.
  5. Obvious mistakes or typing errors in the quote do not bind Mi Techo Solar.

4. Prices

  1. Prices are in euros, with VAT (IVA) shown separately. The total including VAT is the amount the customer pays.
  2. The price covers what is stated in the quote: materials, assembly, legalisation and commissioning, insofar as stated.
  3. Not included unless stated in the quote: repair of the roof or structure, changes to the distribution board or to the connection by the grid operator, scaffolding or aerial work platforms, municipal permits and fees, and the energy audits for a grant.
  4. Mi Techo Solar only carries out additional work after the customer has accepted the price and description in writing.

5. Payment

  1. Unless otherwise agreed in writing in the quote, the customer pays in three instalments: 50 % of the total amount after signing; 25 % before the installation starts; 25 % no later than 2 days after the handover of the installation.
  2. Mi Techo Solar orders the materials and schedules the installation after receiving the first instalment. The installation starts once the second instalment has been paid.
  3. No instalment depends on the legalisation, the connection by the grid operator or the award of a grant.
  4. If Mi Techo Solar handles the grant application, the grant-process fee stated in the quote is only due once the grant has been paid into the customer's account. If no grant is awarded, this fee is not due.
  5. Payment is made by bank transfer to the account on the invoice, or via the finance partner agreed between the customer and Mi Techo Solar.
  6. A grant application does not postpone payment: the customer pays the full price, also if the grant is awarded later or not at all (see clause 13).
  7. In case of late payment the customer owes interest without notice of default: a consumer the statutory interest rate (interés legal del dinero), a business the late-payment interest under Spanish Law 3/2004. Mi Techo Solar may suspend the work until the arrears are paid.

6. Retention of title

  1. The supplied components remain the property of Mi Techo Solar until the full price has been paid.
  2. Until then the customer may not sell, pledge or give the components to third parties for use.
  3. If payment is not made after a reminder, Mi Techo Solar may, by arrangement with the customer, dismantle and take back the unpaid components. Amounts already paid are set off against the damage and costs.

7. Right of withdrawal (consumers only)

  1. If a consumer signs the quote off Mi Techo Solar's premises (at home or at a distance), they may withdraw from the contract without giving any reason within 14 calendar days of signing.
  2. The consumer notifies Mi Techo Solar by email or letter, preferably using the model withdrawal form at the end of these terms. Sending it within the period is sufficient.
  3. Mi Techo Solar refunds what the consumer has paid within 14 days of the notification, using the same means of payment.
  4. If the consumer wants the installation to start within the withdrawal period, they request this expressly and in writing. If they withdraw afterwards, they pay for the part already carried out and the materials already installed.
  5. There is no right of withdrawal for components made to the customer's specifications, such as a custom pergola or structure, once production has started at the customer's request.

8. Execution and planning

  1. Mi Techo Solar carries out the installation professionally, in accordance with the applicable technical regulations (including the Reglamento Electrotécnico para Baja Tensión) and with authorised installers.
  2. The installation date is agreed after the deposit has been received and the materials are available. Stated periods are estimates, not strict deadlines.
  3. Bad weather, supplier lead times or waiting times at the grid operator may change the planning. Mi Techo Solar informs the customer as soon as possible, with a new date.
  4. Mi Techo Solar may replace components with equivalent or better ones of another brand or type if the product in the quote is not available. The customer is informed in advance; power, storage capacity and price remain at least the same.
  5. Mi Techo Solar may use subcontractors and remains responsible for their work.

9. Customer obligations

  1. The customer ensures that the roof, structure and electrical installation are suitable for the installation, unless the quote includes repairs.
  2. On the agreed days the customer gives access to the home, the roof, the distribution board and the location of the inverter and battery, with electricity and water available.
  3. The customer provides correct and complete information: identity document, electricity bill and CUPS, cadastral reference and, where needed, the consent of the homeowners' association or the owner.
  4. Before the start the customer reports known particularities, such as asbestos, hidden pipes or previous leaks.
  5. If the installation cannot go ahead on the agreed day for a reason attributable to the customer, Mi Techo Solar may charge the costs incurred (travel, scaffolding, lost working time).

10. Handover and legalisation

  1. After assembly Mi Techo Solar commissions the installation, measures it and hands it over with a handover report, the datasheets, the warranty details and access to the monitoring app.
  2. The customer checks the installation at handover and reports visible defects in writing within 7 days. Minor points that do not hinder use do not prevent handover; Mi Techo Solar repairs them as soon as possible.
  3. Mi Techo Solar carries out the legalisation stated in the quote. Processing times at the authorities and the grid operator are beyond Mi Techo Solar's control.
  4. Export to the grid and its compensation are arranged by the customer with their energy supplier. Mi Techo Solar helps with the information needed.

11. Warranties

  1. The customer reports a defect as soon as possible after discovering it, with photos or a description. Mi Techo Solar handles the warranty claim with the manufacturer.
  2. The warranty does not cover damage caused by improper use, changes or repairs by others, storms beyond the standards, lightning, flooding, pests or force majeure.
  3. The consumer's statutory rights (Real Decreto Legislativo 1/2007) always remain; these warranties are in addition to them.

12. Liability

  1. Mi Techo Solar is liable for damage that is the direct result of a failure in the execution, and has civil liability insurance for this.
  2. To the extent permitted by law, liability is limited to the amount of the order. Towards a business there is no liability for indirect damage, such as loss of profit or missed savings.
  3. These limitations do not apply in case of intent, gross negligence or personal injury, and do not affect the mandatory rights of a consumer.
  4. Mi Techo Solar is not liable for pre-existing defects in the roof, structure or existing electrical installation that were not part of the order.

13. Grants (such as INEA of the Junta de Andalucía)

  1. Mi Techo Solar can help the customer with a grant application: collecting the documents, breaking down the quote per eligible cost item and the contact with the energy auditor (PSE).
  2. The grant is applied for by and in the name of the customer. The decision and the amount lie with the authorities; Mi Techo Solar does not guarantee an award or an amount. Any grant amount mentioned is an indication.
  3. The energy audits (the prior audit and the audit after completion) are carried out by an independent auditor. The customer pays them directly to the auditor, outside the price of the installation.
  4. The quote and invoices describe the supplied components and work as they really are. Mi Techo Solar does not change descriptions or amounts to obtain a higher grant.
  5. The customer complies with the grant conditions (such as deadlines, record keeping and not disposing of the installation) and reports changes that affect the grant.
  6. If the grant is not awarded or is awarded at a lower amount, the contract remains in force and the customer pays the full price, unless the parties have agreed otherwise in writing.

14. Yield and savings

  1. The expected yield, self-consumption, savings and payback period in the quote are calculations based on average weather data, the stated consumption and current energy prices.
  2. They are a forecast, not a guarantee. Actual results depend on the weather, shading, the customer's consumption, soiling of the panels and the energy supplier's tariffs.

15. Force majeure

  1. In case of force majeure the parties are not liable for delay or non-performance. Force majeure includes extreme weather, natural disasters, pandemics, government measures, strikes, failure of suppliers or transport, and delays at the grid operator or the authorities.
  2. Mi Techo Solar reports force majeure as soon as possible and proposes a new date.
  3. If force majeure lasts longer than 3 months, either party may terminate the contract in writing. What has already been supplied or carried out is paid pro rata.

16. Data protection

  1. Mi Techo Solar processes the customer's personal data in accordance with the GDPR and the Spanish LOPDGDD, only for the quote, the execution, the legalisation, the warranty, a grant application and statutory accounting. More information in our Privacy Policy.
  2. Data is only shared with parties that need it for those purposes: the energy auditor, the grid operator and authorities, the manufacturer for warranty, and a finance partner if the customer chooses one.
  3. Identity documents and bank details are stored securely and not longer than necessary or legally required.
  4. The customer can exercise their rights (access, rectification, erasure, restriction, objection, portability) via info@mitechosolar.com and can lodge a complaint with the Agencia Española de Protección de Datos.

17. Complaints

  1. The customer submits complaints in writing to info@mitechosolar.com, with a description and photos where possible. Mi Techo Solar confirms receipt and responds on the merits within 30 days.
  2. Complaint forms (hojas de quejas y reclamaciones of the Junta de Andalucía) are available on request.
  3. A consumer can also submit a dispute to consumer arbitration (Junta Arbitral de Consumo).

18. Applicable law and jurisdiction

  1. The contract is governed by Spanish law.
  2. In a dispute with a consumer, the courts of the consumer's place of residence have jurisdiction.
  3. In a dispute with a business, the courts of Málaga have jurisdiction.

19. Final provisions

  1. These terms are available in Spanish, Dutch and English. In case of discrepancy the Spanish text prevails.
  2. Mi Techo Solar may amend these terms. For an ongoing order, the terms the customer received when signing apply.
  3. Communications by email count as written.

Annex · Model withdrawal form

Complete and return this form only if you wish to withdraw from the contract. You may withdraw within 14 calendar days of signing; sending the form within that period is sufficient.
